1. These User Terms

(‘REEDS NAUTICAL ONLINE ALMANACS LTD.’) grants you as an authorised user (‘Authorised User’ or ‘you’) of this MyMarina.co.uk web site (‘Web Site’) certain rights (as set out below) and in return you agree to perform certain obligations.

1.6 If you register for any prize competitions, promotions or other giveaways on the Web Site separate Terms and Conditions which are located on the Web Site, shall also apply in addition to the remainder of these User Terms.

2. Licence to Use Material on Web Site

2.1 REEDS NAUTICAL ONLINE ALMANACS LTD. grants to you a personal, non-exclusive, non-transferable, royalty-free licence to use all the material on the Web Site (including but not limited to: software, documentation, text, pictures, sounds, graphics, articles, video or audio clips, and advertising material) (‘REEDS NAUTICAL ONLINE ALMANACS LTD. 3. Ownership of Intellectual Property Rights

3.1 Notwithstanding the limited rights granted to you in accordance with Clause 2, REEDS NAUTICAL ONLINE ALMANACS LTD, or REEDS NAUTICAL ONLINE ALMANACS LTD's suppliers, subcontractors and agents (collectively ‘REEDS NAUTICAL ONLINE ALMANACS LTD. Contractors’) (as applicable) shall retain all ownership, title and interest in the intellectual property rights contained in the REEDS NAUTICAL ONLINE ALMANACS LTD. Material (including but not limited to copyright, database rights, trade marks, patents, service marks, design rights (whether registerable or otherwise) know-how, trade or business names, domain names, goodwill associated with any of the foregoing and other similar rights or obligations whether registerable or not in any jurisdiction in the world ('Intellectual Property Rights')).

3.2 You agree that any material (including any Intellectual Property Rights in such material), including but not limited to material sent via chat services, feedback, bulletin boards or articles or any other material submitted for publication on the Web Site or in using any of the Web Site Services (‘User Generated Content’) may be retained as the property of REEDS NAUTICAL ONLINE ALMANACS LTD.  REEDS NAUTICAL ONLINE ALMANACS LTD. shall have no obligations with regard to the User Generated Content to monitor the User Generated Content to ensure that it complies with applicable laws or regulations. You remain solely responsible for the User Generated Content in accordance with Clause 6.

4. Duration of User Terms and Termination

4.1 These User Terms are binding upon you immediately. You accept them by your use of this Web Site, and they will remain in force until the earlier of the following:

• you breach any of the terms of the licence granted to you in accordance with Clause 2;• REEDS NAUTICAL ONLINE ALMANACS LTD. terminates these User Terms by notice to you at any time in accordance with Clause 9.2;• you terminate these User Terms by notice to REEDS NAUTICAL ONLINE ALMANACS LTD. at any time in accordance with Clause 9.1.

4.2 In the event that these User Terms are terminated for any of the reasons stated above you agree to comply with the following obligations:

• the licence granted to you in accordance with Clause 2 shall be terminated forthwith and you shall have no further rights to use the REEDS NAUTICAL ONLINE ALMANACS LTD. Material;• you must delete or destroy any of the REEDS NAUTICAL ONLINE ALMANACS LTD. Material stored by you in electronic or hard copy form as soon as reasonably practicable;• you will have no further rights to access or use the Web Site or the Web Site Services.

5. REEDS NAUTICAL ONLINE ALMANACS LTD’s Responsibilities

5.1 REEDS NAUTICAL ONLINE ALMANACS LTD. undertakes to use commercially reasonable endeavours to prevent breaches of security of the Web Site.

5.3 REEDS NAUTICAL ONLINE ALMANACS LTD. takes no liability for any failure or interruption of the Web Site or any inability to access or use the Web Site or any features, products or services on the Web Site.

5.4 REEDS NAUTICAL ONLINE ALMANACS LTD. reserves the right, without notice to you, to remove any REEDS NAUTICAL ONLINE ALMANACS LTD. 8. 10. Competition Rules

10.1 All competitions offered by REEDS NAUTICAL ONLINE ALMANACS LTD. from this Web Site (“Competitions”) are open to any United Kingdom or Channel Island resident who is aged 18 or over, except for employees (and their families) of any REEDS NAUTICAL ONLINE ALMANACS LTD. Group company or anyone else connected with the Competitions (“Entrant”).

10.2 All Entrants must register for the relevant Competition by giving their correct name and address in the United Kingdom, together with their email address. By registering for the relevant competition, you acknowledge that you have read and agree to the provisions contained in Clause 7 regarding consent to use your personal information.

10.3 All Competitions shall be subject to terms and conditions as displayed on the Web Site in relation to each Competition.

11. General

11.1 For the purposes of Clauses 1.4, 3, 6.3, 7, 8 and 11.8 of these User Terms, REEDS NAUTICAL ONLINE ALMANACS LTD. shall mean REEDS NAUTICAL ONLINE ALMANACS LTD. Media Limited and/or any REEDS NAUTICAL ONLINE ALMANACS LTD. Group Company which means an REEDS NAUTICAL ONLINE ALMANACS LTD. subsidiary or holding company, or a subsidiary of that holding company all as defined by Section 736 of the Companies Act 1985, as amended by the Companies Act 1989.

11.2 These User Terms form the entire agreement between you and REEDS NAUTICAL ONLINE ALMANACS LTD. and supersede any other oral or written communications, agreements or representations with respect to your use of this Web Site and Web Site Services.

11.3 REEDS NAUTICAL ONLINE ALMANACS LTD. reserves the right to add to or change the terms of these User Terms in its sole discretion without prior notice to you. Group Company (as defined in Clause 11.1 above) and these User Terms are intended to be enforceable by each REEDS NAUTICAL ONLINE ALMANACS LTD. Group Company by virtue of the Contracts (Rights of Third Parties) Act 1999.

11.7 Subject to Clause 11.6, a person who is not a party to these User Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these User Terms but this does not affect any right or remedy of a third party which exists or is available apart from that Act.

11.8 If REEDS NAUTICAL ONLINE ALMANACS LTD. or any REEDS NAUTICAL ONLINE ALMANACS LTD. Contractor is unable to perform any obligation under these User Terms because of a matter beyond its reasonable control, including (but not limited to) fire, flood, explosion, war, civil disorder, industrial disputes (whether or not involving its employees), or other disasters or governmental laws and regulations imposed after the fact, or events beyond the reasonable control of REEDS NAUTICAL ONLINE ALMANACS LTD. or the REEDS NAUTICAL ONLINE ALMANACS LTD. Contractors, neither REEDS NAUTICAL ONLINE ALMANACS LTD. nor any REEDS NAUTICAL ONLINE ALMANACS LTD. Contractor will have any liability for that failure to perform.

11.9 Your use of the Internet is solely at your risk and subject to all applicable laws, and REEDS NAUTICAL ONLINE ALMANACS LTD. has no responsibility for any information, software, services or other materials accessed or obtained by you using the Internet.
